1. Agreement to Terms
These Terms of Service constitute a legally binding agreement made between you and Athlo, Inc. concerning your access to and use of the Athlo mobile application, website, and related services. By accessing or using Athlo, you agree that you have read, understood, and accept to be bound by all of these Terms. If you do not agree with all of these Terms, you are expressly prohibited from using Athlo and must discontinue use immediately.
2. User Representations
By using Athlo, you represent and warrant that: (1) all registration information you submit will be true, accurate, current, and complete; (2) you will maintain the accuracy of such information and promptly update it as necessary; (3) you have the legal capacity and agree to comply with these Terms; (4) you are not a minor in the jurisdiction in which you reside; and (5) your use of Athlo will not violate any applicable law or regulation.
3. User Registration
You may be required to register with Athlo to access certain features. You agree to keep your password confidential and will be responsible for all use of your account and password. We reserve the right to remove, reclaim, or change a username you select if we determine, in our sole discretion, that such username is inappropriate, obscene, or otherwise objectionable. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.
4. Prohibited Activities
You may not access or use Athlo for any purpose other than that for which we make Athlo available. As a user, you agree not to:
- Systematically retrieve data or content from Athlo to create a collection, compilation, database, or directory without written permission from us.
- Trick, defraud, or mislead us or other users, especially in any attempt to learn sensitive account information such as user passwords.
- Circumvent, disable, or otherwise interfere with security-related features of Athlo.
- Use any information obtained from Athlo to harass, abuse, or harm another person.
- Upload or transmit viruses, Trojan horses, or other malicious code.
- Attempt to impersonate another user or person or use the username of another user.
5. Intellectual Property Rights
Unless otherwise indicated, Athlo is our proprietary property and all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics on Athlo and the trademarks, service marks, and logos contained therein are owned or controlled by us or licensed to us, and are protected by copyright and trademark laws. Provided that you are eligible to use Athlo, you are granted a limited license to access and use Athlo and to download or print a copy of any portion of the Content to which you have properly gained access solely for your personal, non-commercial use.
6. User-Generated Content
Athlo may provide you with the opportunity to create, submit, post, display, transmit, perform, publish, distribute, or broadcast content and materials to us or on Athlo, including but not limited to text, writings, video, audio, photographs, graphics, comments, suggestions, or personal information. By creating user-generated content, you grant Athlo a non-exclusive, transferable, sub-licensable, royalty-free, worldwide license to use any content you submit in connection with the operation of our platform. You represent and warrant that you own or control all rights in and to the content you submit.
7. Subscriptions and Payments
Certain features of Athlo may be offered on a subscription basis. You agree to pay all fees associated with your subscription plan. All payments are non-refundable except as required by law or as explicitly set forth in these Terms. We reserve the right to change subscription fees at any time. Any fee changes will become effective at the end of your then-current billing cycle. You may cancel your subscription at any time through your account settings or by contacting us.
8. Limitation of Liability
In no event will we or our directors, employees, or agents be liable to you or any third party for any direct, indirect, consequential, exemplary, incidental, special, or punitive damages, including lost profit, lost revenue, loss of data, or other damages arising from your use of Athlo, even if we have been advised of the possibility of such damages. Notwithstanding anything to the contrary contained herein, our liability to you for any cause whatsoever and regardless of the form of the action, will at all times be limited to the amount paid, if any, by you to us during the six-month period prior to any cause of action arising.
9. Indemnification
You agree to defend, indemnify, and hold us harmless, including our subsidiaries, affiliates, and all of our respective officers, agents, partners, and employees, from and against any loss, damage, liability, claim, or demand, including reasonable attorneys fees and expenses, made by any third party due to or arising out of: (1) your use of Athlo; (2) your breach of these Terms; (3) any breach of your representations and warranties set forth in these Terms; or (4) your violation of the rights of a third party.
10. Governing Law and Dispute Resolution
These Terms shall be governed by and defined following the laws of the State of Delaware, United States. Any dispute arising under these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Delaware, and the language of the arbitration shall be English. The arbitrators decision shall be final and binding on both parties.
11. Modifications and Interruptions
We reserve the right to change, modify, or remove the contents of Athlo at any time or for any reason at our sole discretion without notice. We also reserve the right to modify or discontinue all or part of Athlo without notice at any time. We will not be liable to you or any third party for any modification, price change, suspension, or discontinuance of Athlo. We cannot guarantee Athlo will be available at all times. We may experience hardware, software, or other problems or need to perform maintenance related to Athlo, resulting in interruptions, delays, or errors.
